1

Services and project agreement

We provide B2B technology consulting, CRM implementation, systems integration and workflow automation. Deliverables, assumptions, acceptance criteria, schedule, support, fees and payment conditions must be agreed in a written proposal, statement of work or other expressly accepted project agreement. Website use alone does not create a paid engagement. An invoice does not introduce unagreed terms. The project agreement controls conflicting commercial terms; mandatory law always prevails.

2

Scope, fees and changes

Work outside the agreed scope requires written approval of its cost and schedule. The client provides timely access, accurate information and feedback. Delays or dependencies may require a revised schedule. Fees, taxes, currency, milestones and any refund conditions follow the accepted project agreement; no additional charge is authorized by this page alone.

3

Accounts and credentials

The client retains control of its accounts, data and third-party subscriptions, including CRM, Twilio, Meta, Make, n8n and payment tools, and pays the applicable vendor costs. GreenRiver receives only authorized access needed for the project. Hosting, ongoing administration, backup or monitoring services exist only when expressly included in the project agreement. At handover or termination, the parties coordinate delivery and revocation or rotation of access credentials.

4

Intellectual property and reusable components

Unless the project agreement expressly provides otherwise, full payment grants the client a perpetual, non-exclusive license to use, run, copy and adapt the delivered custom workflows for its own business, including maintenance by authorized contractors under confidentiality obligations. GreenRiver retains its pre-existing tools, reusable code, scripts, architectures and templates. Any retained component embedded in a deliverable is licensed to the extent needed for that use. Client data, confidential information and client-owned materials remain the client’s; they are not reusable blueprints. Third-party and open-source components remain subject to their own licenses. Exclusive ownership or assignment requires an express written agreement.

5

Confidentiality and data processing

Each party protects non-public business information and uses it only for the engagement, except for authorized or legally required disclosure. The client determines lawful purposes for its end-customer data; GreenRiver processes that data under documented instructions and fulfills its own applicable legal duties. Where needed, a data processing agreement defines access, subprocessors, international transfers, incident cooperation, retention and return or deletion of data. Our own contact and billing data are covered by the Privacy Policy.

6

Messaging and regulatory responsibilities

For workflows sent on the client’s behalf, the client determines recipients, content and timing and is responsible for lawful contact lists, required consent, opt-out records and sender registrations. Applicable rules may include the US TCPA, Brazilian LGPD and ANATEL rules, and Colombia’s Ley 2300 de 2023. GreenRiver implements the agreed controls and remains responsible for its own conduct and statutory obligations. Technical configuration is not a certification of legal compliance, and a contractual label does not determine who is legally a sender or caller. Unlawful messaging is prohibited.

7

Delivery, support and dependencies

Testing, acceptance, correction periods and any ongoing support follow the project agreement. We perform services with reasonable professional care. Third-party availability, API limits and vendor changes can affect delivery; adaptations outside scope require agreement. We do not guarantee uninterrupted operation or specific revenue, but vendor involvement does not excuse our own breach or agreed mitigation duties.

8

Artificial intelligence

AI features must be agreed within the scope. Outputs may be inaccurate, biased or unsuitable. The parties define permitted data, provider settings and human review appropriate to the risk. The client validates outputs before critical use or customer communication; GreenRiver remains responsible for the controls and configuration it agreed to deliver. AI output is not professional legal or financial advice.

9

Suspension and termination

Either party may terminate under the project agreement and applicable law. A material breach should receive notice and a reasonable opportunity to cure where appropriate; unlawful use or urgent security threats may require immediate proportionate suspension. The parties settle work properly performed and approved non-cancellable costs, apply any contractual refunds and coordinate handover. Termination does not remove statutory rights, confidentiality or licenses already earned through payment.

10

Liability limits

To the extent lawful and subject to an expressly accepted project agreement, neither party is liable for indirect or consequential losses. GreenRiver’s aggregate contractual liability is limited to fees paid to GreenRiver under the affected project in the three months preceding the event. This limit does not exclude fraud, willful misconduct, gross negligence, or liabilities and remedies that applicable law does not permit to be limited, including mandatory consumer and data protection rights. Data loss is not automatically treated as indirect damage. Third-party failures exclude responsibility only to the extent not attributable to GreenRiver’s breach of duty.

11

Brazilian law and Curitiba venue

Brazilian law governs these terms, without depriving any party of mandatory protections applicable to it. For disputes under a written project agreement that incorporates this clause, the parties elect the courts of Curitiba, Paraná, Brazil, where GreenRiver is based, except where mandatory jurisdiction or consumer protection rules require otherwise. The parties may first seek an amicable solution without restricting urgent relief or statutory deadlines.

12

Updates, severability and contact

Effective October 24, 2026. New website terms do not retroactively amend accepted projects; contractual changes require agreement. If a clause is unenforceable, the remaining provisions continue to the extent lawful. Contact: welcome@greenriver-etl.com.
